Ltd.and its related entities, affiliates and subsidiaries, as well as its representatives and/or agents (collectively referred to herein as “MHV”, “us”,“we” or “our”)will manage Personal Data (as defined below) in compliance with the Personal DataProtection Act 2012 and its regulation(s) (“the Act”or “PDPA”). 1. PERSONAL DATA  
1.1 In this Data Privacy Policy, “Personal Data” refers to any data, whether true or not, about an individual who can be identified (a) from that data; or (b) from that data and other information to which we have or are likely to have access, including data in our records as may be updated from time to time.

1.2 Examples of such Personal Data you may provide to us include (depending on the nature of your interaction with us) your name, NRIC, passport or other identification number, telephone number(s), mailing address, email address and any other information relating to any individuals which you have provided us in any methods of interaction with you.

1.3 Please note that the data protection provisions of the PDPA do not apply to business contact information (“BCI”). BCI is defined in the PDPA as an individual’s name, position name or title, business telephone number, business address, business electronic mail address or business fax number and any other similar information about the individual, not provided by the individual solely for his personal purposes.

3.1 Generally, MHV collects, uses, processes and discloses your Personal Data for the following specific purposes on basis of the consent given (where applicable) for:
(a) transacting with you and providing our Services;

(c) managing the administrative operations of MHV and complying with internal policies, reporting requirements and procedures;
(d) managing the safety and security of our premises and systems;
(e) facilitating business asset transactions (which may extend to any mergers, acquisitions or asset sales) involving any of our entities;

3.2 In addition, MHV collects, uses and discloses your Personal Data for the following purposes:
(a) if you are a vendor of MHV:
(i) assessing your suitability as vendor (i.e. external service provider, consultant, contractor etc.);
(ii) managing requests for proposals or quotations, processing orders or managing supply of goods and/or services;
(iii) processing and payment of invoices; and/or
(iv) purposes which are reasonably related to the aforesaid.

(b) if you submit an application to us as a candidate for an employment or other post:
(i) evaluation and assessment of your suitability;
(ii) conducting interviews;
(iii) processing your application (including but not limited to pre-recruitment checks involving your qualifications and facilitating interviews);
(iv) providing or obtaining references and for background screening;
(v) assessing your suitability for the position applied for;
(vi) onboarding successful candidates and facilitating human resource planning and management; and/or
(vii) purposes which are reasonably related to the aforesaid.

(c) if you are an employee of MHV:
(i) staff orientation and entry processing;
(ii) determining, processing and reviewing salaries, bonuses and other benefits;
(iii) assessing your performance;
(iv) considering and processing applications for continuing skills development and training, including organizing training and staff development programmes or events;
(v) administrative and support processes relating to your employment, including its management and termination, staff benefits, including travel, manpower, business continuity and logistics management or support, processing claims, training, learning and talent development, and planning or organising corporate events;
(vi) business continuity purposes;
(vii) conducting analytics and research for human resource planning and management and developing, optimising and improving work-related practices and environment;
(viii) conducting internal investigations and proceedings, whistleblowing, internal monitoring and audits; and/or
(ix) purposes which are reasonably related to the aforesaid.

4. Disclosure of Personal Data
4.1 MHV will take commercially reasonable steps to protect your Personal Data against unauthorised disclosure. Subject to the provisions of any applicable law, your Personal Data may be disclosed, for the purposes listed above (where applicable), to the following entities or parties, whether they are located overseas or in Singapore:
(a) MHV’s related corporations and employee(s); to address your questions and requests in relation to your interactions with us, to maintain and operate our systems and/or services;
(b) agents, contractors or third-party service providers who provide services to MHV, such as courier services, telecommunications, information technology, payment, printing, billing, payroll, processing, technical services, security, or other services to MHV;
(c) any business partner, investor, assignee or transferee (actual or prospective) to facilitate business asset transactions (which may extend to any merger, acquisition or asset sale) involving any of our entities;

(e) share registrars;
(f) companies which provide corporate secretarial services;

(h) relevant government ministries, regulators, statutory boards or authorities or law enforcement agencies to comply with any laws, rules, guidelines and regulations or schemes imposed by any governmental authority; and/or

4.2 Please note that the disclosures referred above may be subject to additional legal requirements under applicable law, if we do disclose your Personal Data, we will only do so to the extent necessary, proportionate and legally permitted.

7.1 If the transfer of your Personal Data within our group of Companies is necessary, we will take reasonable steps to ensure that your Personal Data transmitted outside of your country of residence remains adequately protected to a standard similar to that afforded by the PDPA. In addition, we will ensure that such transfers comply with the requirements of the applicable data protection laws.

7.2 All Personal Data is retained for as long as it is necessary for the purposes it has been collected for in accordance with our data retention policy. Any third party who manages our Personal Data are also required to ensure that the Personal Data is disposed in accordance to the retention period as may be agreed in their respective engagement contract(s).

8.3 If you withdraw your consent to any or all use of your Personal Data, depending on the nature of your request, MHV may not be in a position to continue to provide its Products and Services to you, administer any contractual relationship in place, which in turn may also result in the termination of any agreements with MHV, and your being in breach of your contractual obligations or undertakings. MHV’s legal rights and remedies in such event are expressly reserved.

9.1 Our companies’ websites may contain links to other third-party operated websites over which we have no control over. We are not responsible for the privacy and/or data protection practices of such third-party operated websites that are linked to our websites.
